• Eligibility: The free software offer is only available to startups founded within the last two years, as determined by apica.io in its sole discretion.
• Restrictions on use: The free software is intended solely for use by the eligible startup and may not be shared or used by any other individual or entity without the prior written consent of apica.io.
• Non-transferable: The free software is non-transferable and may not be assigned or transferred by the eligible startup to any other party.
• Prohibited activities: The eligible startup may not use the free software for any illegal, fraudulent, or unauthorized purposes. Prohibited activities include, but are not limited to, reverse engineering, decompiling, or disassembling the software; modifying, creating derivative works of, or distributing the software; and attempting to access or tamper with the software’s source code or data.
• Compliance with laws: The eligible startup must comply with all applicable laws and regulations in their use of the free software, including but not limited to data privacy and security laws, export control laws, and intellectual property laws.
• Intellectual property rights: apica.io or its licensors owns the free software and all intellectual property rights therein. The eligible startup is granted a limited, non-exclusive, non-transferable license to use the software for the duration of the free offer period.
• Termination: apica.io reserves the right to terminate the free software offer at any time for any reason without liability to the eligible startup. apica.io also reserves the right to terminate the eligible startup’s access to the software if they violate these terms and conditions.
• Disclaimer of warranties: The free software is provided “as is,” and apica.io makes no representations or warranties of any kind, whether express, implied, or statutory, regarding the software or its use.
• Limitation of liability: apica.io shall not be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in connection with the free software offer, including but not limited to lost profits or data, business interruption, or any other economic or financial loss.
• Reviews and testimonials: The eligible startup may not publish any reviews, testimonials, or other feedback regarding the free software without the prior written consent of apica.io. apica.io reserves the right to use any such reviews, testimonials, or feedback for promotional purposes.
• Consent to use startup’s brand: The eligible startup consents to apica.io’s use of its name, logo, and brand for promotional purposes, including but not limited to on apica.io’s website, marketing materials, and social media channels. The eligible startup may request that apica.io remove or modify any such use of its brand by contacting apica.io in writing.
• Submission of feedback/reviews: As a condition of receiving the free software, the eligible startup agrees to submit a review or testimonial regarding their use of the software after 30 days of receiving the software license and at the 90-day mark of receiving the free license. apica.io may use the review or testimonial for promotional purposes.
• Proof of Incorporation: If requested, the eligible startup must share proof of incorporation and founding date within 7 days of the request by the Apica team.
• Installation and Deployment: The offer provides the Apica license free of cost. This is not an offer for the Apica SaaS cloud. The eligible startup will install the software either in their data center, cloud account, or via the AWS marketplace. The software license is free, and Apica will not bear hardware or cloud infrastructure costs.
• Support:  apica.io offers community support for the software, which includes access to their community forum, knowledge base, and FAQs. Apica will make reasonable efforts to respond to community support requests in a timely manner but does not guarantee any specific response time or resolution.
• Version and features: The free software provided is a fully-featured version, and additional features and functionality that may be developed in the future may be available for purchase. 
• Free license use: Use of the free software license is subject to the terms and conditions of this offer and may be updated or modified at any time without notice. apica.io reserves the right to modify these terms and conditions at any time without prior notice. By continuing to use their platform, the eligible startup agrees to be bound by the modified terms and conditions.
